DISPUTE RESOLUTION
If any dispute arises in the cause of achieving the goals set
out in the MOU, parties shall first attempt settlement by appointing a mediator
jointly agreed by the parties, or arbitration by the Arbitration and
Conciliations Act before resorting to litigation.
AMENDMENT TO THE AGREEMENT
The obligations of both parties have been outlined in this
agreement. However, during the operation of the agreement, circumstances may
arise that call for alteration or modifications of this agreement. These
modifications/Alterations will be mutually discussed and agreed upon in
uniting.
PURPOSE AND SCOPE
The parties intend for this MEMORANDUM OF UNDERSTANDING to
provide the cornerstone and structure for any possible impending binding
contract which may be related to this online business.
It Is Hereby Agreed As Follows
1. That all parties have submitted to the
terms and conditions of the MoU
2. That this MoU will be binding on all
parties as no party is allowed to act contrary to this agreement.
CONFIDENTIALITY
During the term of this agreement all confidential and/or
proprietary information, whether oral, written, or contained in any medium
whatsoever, that is made available to either party (the “Recipient party”)
shall be kept strictly confidential, and such information shall be divulged to
any third party without the prior written consent of the other party (the
“disclosing party”) except to legal, accounting and financial advisers of
either party or third parties providing services concerning any of the activities
herein, and provided that such advisers or other third parties agree in writing
to maintain the confidentiality of such information
GOVERNING LAWS
This agreement shall be governed by the law of the Federal
Republic of Nigeria
Warranties
Parties during the continuance of their agreement shall
1. Be fair, just, and faithful to one
another in all transactions relating to this MoU
2. Be under judiciary duty to conduct the
affairs of the MoU in the best interest of the agreement.
3. Use their best efforts, skill, and experience to successfully execute the MoU
Changes to Terms and Conditions
The Terms may be amended from time to time to maintain
compliance with the law. We will notify users by posting updated terms and the
date of update will be noted at the top of this document. So you are also
